ORDER ON LEGAL DISSOLUTION AND STRUCTURAL NULLIFICATION OF THE LMZ MUSIC RIGHTS GROUP

Pursuant to the INDR Bylaws, and in accordance with Section 21 of the Unified Code of the Alliance, which vests the President of the INDR Music Association with full administrative authority to execute Association-wide directives in alignment with the Office of Association President Leadership, I, Erik Zambrano, in my official capacity as President of the INDR Music Association, do hereby issue the following Administrative Order.

SECTION 1. DECLARATION OF POLICY AND INTENT

It is the formal determination of this Office that the LMZ Music Rights Group (LMZ MRG) is no longer compatible with the technological, administrative, and legal standards of the INDR Music Association. It is, therefore, in the best interest of the Association and its members that LMZ MRG be declared legally defunct, and that all operational authority, intellectual assets, and administrative responsibilities previously held by said entity be absorbed by INDR Advanced Technologies (IAT).

SECTION 2. LEGAL DISSOLUTION AND STATUS CHANGE

Effective immediately:

  • LMZ Music Rights Group (LMZ MRG) is hereby dissolved in full and designated a Legacy Entity under INDR Rule 219.
  • The corporate existence, publishing authority, and licensing credentials of LMZ MRG shall be revoked, and its status recorded as defunct and void in all central registries maintained by the Office of Records & Archives.

This order shall be treated as an Association-Wide Instrument enforceable under the INDR Administrative Enforcement Protocol.

SECTION 3. TRANSFER OF RIGHTS AND FUNCTIONS

All core competencies, assets, and administrative domains formerly under LMZ MRG shall be transferred to INDR Advanced Technologies, including:

  • Copyright and Catalog Management
  • Royalty Collection and Distribution Systems
  • Publishing and Licensing Administration
  • Digital Metadata Archives and Audit Trails

The transition shall be completed no later than August 1, 2025, under supervision of the Commission for Administrative Integration.

SECTION 4. ARBITRATION ENFORCEMENT UNDER RULE 290

I hereby direct that this Administrative Order shall be enforced by the INDR Arbitration Hearings Division, as authorized by INDR Rule 290. Accordingly:

The Arbitration Panel Appointees shall have the full authority to nullify, invalidate, and void any prior agreements, licenses, joint ventures, or memoranda issued by or in reliance upon LMZ MRG.

  • This includes but is not limited to: digital publishing rights, revenue-sharing contracts, sublicensing, and editorial distribution pacts.
  • Any party contesting the validity of this Administrative Order shall be subject to compulsory review before the Standing Committee on Legacy Enforcement.
  • All arbitration decisions pursuant to this Order shall be binding and immune from reversal unless overturned by the Executive Governance Tribunal.
SECTION 5. SUPERSEDING AUTHORITY OVER EXISTING RULES

This Administrative Order shall serve as a superseding legal instrument over any prior or future clauses of the Codified Rules of 2025, to the extent that those provisions:

  • Permit continuation of now-defunct subsidiary entities;
  • Recognize legacy administrative licenses in conflict with this Order;
  • Inhibit the direct transition of copyright management to centralized governance.

Where conflict exists between this Administrative Order and any unestablished or ambiguous provisions, this Order shall prevail until such time as the Codified Rules of 2025 are formally ratified.

SECTION 6. MANDATED ACTIONS FOR COMPLIANCE

The following actions shall be executed without delay:

1. The INDR Administration Library shall cease all publication, printing, and public distribution of LMZ MRG copyrighted works.

2. The Office of Public Records and Data Integrity shall immediately mark LMZ MRG’s registry as “Defunct – Legacy Entity” and freeze all related accounts.

3. The Public Information Bureau shall issue a formal dissolution notice to members and external partners no later than July 18, 2025.

SECTION 7. LEGAL STANDING AND FINALITY

This Administrative Order shall carry the full force of Association Law and shall be deemed final unless superseded by an Order of higher constitutional authority or revoked through Administrative Override by Supermajority Charter Vote, as defined in Bylaw 12(c)(iv).

Let it be known that as of the date set forth below, the LMZ Music Rights Group shall no longer exist as a functioning or recognized entity within the legal structure of the INDR Music Association.
